MiningRigRentals – Hashrate Resale / Broker Policy

1. Scope

This policy governs customers (“Client”) who source hashrate from third-party miners (“Upstream Providers”) and resell or allocate that hashrate via the MiningRigRentals platform (“MRR”), including through automated API usage.

This policy applies only to the relationship between MRR and the Client. It does not extend to any agreements between the Client and their Upstream Providers or downstream customers.


2. Permitted Business Model

MRR permits Clients to operate as hashrate brokers or resellers under the following conditions:

  • Clients may connect hashrate sourced from third parties to MRR.

  • Clients may create, manage, and price rig listings dynamically, including via API.

  • Clients may allocate or route hashrate to rentals, internal pools, or fallback destinations.

  • Clients may retain a service fee or margin from their upstream arrangements.

This model is permitted provided all requirements in this policy are met.


3. Disclosure Requirements

Clients must ensure:

  • Full and accurate disclosure to Upstream Providers that their hashrate may be:

    • Routed to third-party destinations

    • Used in rental marketplaces such as MRR

    • Subject to dynamic allocation and pricing

  • No misleading or deceptive representations are made regarding:

    • How hashrate is used

    • Expected earnings

    • Association with MRR

MRR does not verify or enforce disclosures between Clients and their Upstream Providers.


4. API Usage

Clients may use the MRR API to:

  • Create and manage rig listings

  • Adjust pricing dynamically

  • Automate allocation and operational workflows

However:

  • API usage must comply with general platform terms and rate limits

  • Abuse, excessive load, or disruptive automation may result in restrictions


5. Fees and Economic Terms

  • MRR fees apply strictly to services rendered between MRR and the Client.

  • Clients may charge their own fees or margins independently.

  • MRR reserves the right to:

    • Adjust platform fees

    • Introduce additional fees if a Client’s usage creates disproportionate support or infrastructure load


6. Support Responsibilities

  • MRR provides support only to the Client.

  • The Client is solely responsible for:

    • Supporting their Upstream Providers

    • Supporting any downstream customers or fourth parties

    • Handling disputes, payouts, and operational issues outside MRR

MRR will not engage with or provide support to any third or fourth party involved in the Client’s business model.


7. Payments and Withdrawal Restrictions

  • All payments between the Client and any third or fourth party are the Client’s sole responsibility.

  • MRR enforces strict withdrawal controls:

    • Withdrawals from MRR accounts are permitted only to wallet addresses owned and controlled by the Client.

    • Withdrawals to third-party or fourth-party wallet addresses are not permitted under any circumstances.

    • The Client must not use MRR as a pass-through payment processor for upstream or downstream participants.

  • Clients operating a resale or brokerage model must:

    • Withdraw funds to their own wallet(s)

    • Handle all subsequent distribution, settlement, or payouts independently outside of MRR

  • MRR is not a party to, and assumes no liability for:

    • Revenue sharing agreements

    • Miner payouts

    • Financial disputes

    • Contract enforcement

Violation of withdrawal restrictions may result in account suspension or termination.


8. Reseller Rig Classification & Performance Requirements

  • Clients must explicitly identify and disclose to MRR which rigs are sourced from Upstream Providers.

  • MRR will classify such rigs as “Reseller Rigs” for operational, monitoring, and policy enforcement purposes.

  • Reseller Rigs are subject to enhanced performance and reliability requirements, including:

    • Stricter uptime and hashrate consistency expectations

    • Increased scrutiny on pool routing behavior and stability

  • Reseller Rigs are subject to a modified refund policy, including:

    • Prorated refunds for any service degradation, regardless of cause

    • Refunds may be issued for issues including, but not limited to:

      • Hashrate underperformance

      • Connectivity interruptions

      • Pool-related issues (including upstream or external pool faults)

  • The Client assumes full responsibility for upstream instability and must absorb the associated risk.

Failure to properly classify reseller rigs or meet performance requirements may result in:

  • Forced reclassification

  • Refund enforcement

  • Listing restrictions or account action


9. Branding and Representation

Clients must not:

  • Represent themselves as MRR, a partner of MRR, or acting on behalf of MRR

  • Imply endorsement, certification, or affiliation beyond being a platform user

  • Use MRR branding in a misleading or unauthorized manner

Permitted:

  • Factual statements such as “uses MiningRigRentals platform” are acceptable if not misleading.


10. Liability and Indemnification

  • The Client assumes full responsibility for their business operations, including:

    • Legal compliance in their jurisdiction

    • Agreements with third and fourth parties

    • Any claims arising from their resale activities

  • The Client agrees to indemnify and hold harmless MRR from any claims, damages, or disputes arising from:

    • Their resale or brokerage activities

    • Misrepresentation to third parties

    • Failure to meet obligations to Upstream Providers or customers


11. Platform Protection and Enforcement

MRR reserves the right to:

  • Restrict or terminate accounts that:

    • Create excessive operational or support burden

    • Violate disclosure or representation requirements

    • Attempt to bypass withdrawal restrictions

    • Introduce risk to platform stability or reputation

  • Modify this policy at any time to address emerging risks or operational impacts


12. Relationship Clarification

  • MRR provides infrastructure and marketplace services only to the Client.

  • No agency, partnership, or joint venture is created between MRR and the Client.

  • No relationship exists between MRR and any third or fourth party involved in the Client’s operations.


13. Summary (Operational Reality)

  • Reselling hashrate is allowed.

  • API automation is allowed.

  • You can source and monetize third-party hashrate.

  • You must disclose and classify reseller rigs.

  • You bear all upstream risk and support obligations.

  • You cannot use MRR for third-party payouts.

  • MRR only guarantees service to you—not anyone behind you.
